Terms of Service.

These Terms of Service (the “Terms”) are a binding agreement between you and Street Labs, Inc., a Delaware corporation (“Street,” “we,” “us”). They govern your access to and use of our websites, including street.app and streetfdn.com, our waitlist and account registration flows, and any related services we make available (together, the “Services”).

By accessing the Services, creating an account, or joining the waitlist, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a company or fund, you represent that you are authorized to bind that entity, and “you” includes it.

The Services currently provide information about Street’s platform for private company securities and let you register interest through a waitlist. Descriptions of brokerage, alternative trading system, transfer-agent, custody, and lending functions reflect the platform as designed. The broker-dealer, transfer-agent, and alternative-trading-system registrations for Heimdall, Mimir, and Street Liquid are in progress and pending regulatory approval; regulated activities will not be offered until the applicable registrations and approvals are in effect.

Nothing on the Services constitutes an offer to sell or a solicitation of an offer to buy any security, or legal, tax, accounting, or investment advice. Any securities offered through the platform, once operational, will be offered exclusively to verified accredited investors in reliance on exemptions from registration under the Securities Act of 1933. Private company securities are illiquid, are not listed on a national exchange, and involve a high degree of risk, including the possible loss of the entire investment.

To use the Services, you must:

• be at least 18 years old and able to form a binding contract;
• not be barred from using the Services under the laws of the United States or any other applicable jurisdiction; and
• complete any identity, accreditation, or other verification we require before accessing gated features. Access to investment functionality, when available, is limited to verified accredited investors and other eligible participants.

You agree to provide accurate, current, and complete information when you register or join the waitlist, and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at legal@street.app if you suspect unauthorized use.

Joining the waitlist does not create a customer, brokerage, advisory, or fiduciary relationship, does not guarantee access to the platform, and does not reserve any investment. We may accept, decline, or remove waitlist registrations at our discretion, including where verification cannot be completed.

You agree not to:

• use the Services in violation of any law or regulation, including securities, anti-money-laundering, and sanctions laws;
• misrepresent your identity, accreditation status, or authority to act for an entity;
• probe, scan, or test the vulnerability of the Services, interfere with their operation, or access them by automated means except through interfaces we provide;
• scrape, harvest, or resell content or data from the Services; or
• use the Services to transmit malware or other harmful code.

We may suspend or terminate access for any breach of this section.

The Services and all content on them — including text, designs, graphics, films, logos, product names such as Street, Heimdall, Mimir, and Street Liquid, software, and their selection and arrangement — are owned by Street or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Services for their intended purpose. No other rights are granted.

If you send us feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

The Services may link to or interoperate with third-party websites and services, including identity-verification and infrastructure providers. We do not control and are not responsible for third-party services; your use of them is governed by their own terms and privacy policies.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ON THEM IS COMPLETE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER THE FEDERAL SECURITIES LAWS.

You will indemnify and hold harmless Street and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, on an individual basis, in Wilmington, Delaware or remotely. YOU AND STREET EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Either party may bring qualifying claims in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property. If the class-action waiver is found unenforceable as to a claim, that claim will proceed in the state or federal courts located in Delaware, and you consent to their jurisdiction.

We may modify the Services or these Terms at any time. If we make material changes to these Terms, we will post the updated version on this page and revise the “Last updated” date, and where required we will provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.

We may suspend or terminate your access to the Services at any time, with or without cause. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.

These Terms, together with the Privacy Policy and any additional terms you agree to for specific features, are the entire agreement between you and Street regarding the Services. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
